                ANNOUNCES INVESTMENT IN ALZHEIMER'S FACILITIES


     AUSTIN, TEXAS, March 24, 1998 - American Physicians Service Group, Inc.
("APS") (NASDAQ:AMPH) today announced that it has acquired 34% of Uncommon
Care, Inc. ("Uncommon Care"), a developer and operator of dedicated Alzheimer's
care facilities. In addition to the purchase price of approximately $2.0
million, APS has established a line of credit to Uncommon Care of $2.4 million
to be used for working capital and interim development financing.

     Ken Shifrin, Chairman of the Board of APS said, "We are pleased to
announce our second business line expansion since October.  Our investment in a
physicians practice management company for OB/GYN's is progressing and we are
excited to announce our association with Uncommon Care.  Uncommon Care is a
young, aggressive company with a successful track record and a unique product
in the senior services industry.  Alzheimer's is an unfortunate disease which
will affect more and more Americans as our population ages.  With two fully
occupied facilities, a third facility in the final stage of construction and
significant expansion opportunities, Uncommon Care is positioning itself to
