Lowry Mays, Chairman and CEO of Clear Channel Communications, Inc. (NYSE: CCU), and Randy Michaels, CEO of Jacor Communications, Inc. (NASDAQ:JCOR), jointly announced today that Clear Channel is preparing to close its previously announced merger with Jacor on May 4, 1999. The May 4th closing date is contingent upon the satisfaction of certain conditions and related transactions. Assuming a May 4, 1999 closing, pursuant to the terms of the Merger Agreement signed by the Companies on October 8, 1998, each share of Jacor common stock will be exchanged for approximately 1.15732 shares of Clear Channel common stock. Additionally, pursuant to the terms of the initial order of the Federal Communications Commission, the Companies expect to place WZAZ-FM and WJGR-AM, also serving Jacksonville, into FCC trust in the near future.
