Lydall: Annual Meeting News Release LYDALL ANNOUNCES SENIOR MANAGEMENT PROMOTIONS 1998 Sales and Earnings Projections Sales, $245 million; EPS, $1.00 to $1.05 MANCHESTER, CONNECTICUT - May 13, 1998 - Lydall, Inc. (LDL:NYSE) -Leonard R. Jaskol, Chairman and Chief Executive Officer of Lydall, Inc., announced to stockholders at the Company's Annual Meeting today that Christopher R. Skomorowski, president of Lydall Westex, will become President and Chief Operating Officer of Lydall, Inc. and a non-rotating member of Lydall's Board effective in the fourth quarter of 1998. Raymond Grupinski, director of operations of Lydall Westex, will be promoted to president of that division also in the fourth quarter. Mr. Jaskol also named James P. Carolan, president of Lydall Technical Papers, as Executive Vice President of Lydall, Inc. effective immediately. Mr. Carolan will also become a non-rotating member of Lydall's Board at the end of 1998. Mr. Jaskol commented, "I believe in a smooth and orderly approach to succession over a number of years, and the appointment of a president and COO is a first step. Chris has held a variety of positions in the company, from corporate finance to marketing manager to division president. His broad experience and the loyalties and friendships he's formed throughout the company will serve him well in his new role. I hold Chris in high regard and have a great deal of confidence in his judgment and management abilities. It gives me great pleasure to make this appointment." Mr. Skomorowski joined the Company in 1978 as manager of internal auditing at the corporate office. In 1983, Mr. Skomorowski was promoted to the position of controller of Lydall Westex. In 1984, he moved into marketing, becoming the business unit manager of noise, vibration and heat insulation material products. He has been president of Lydall Westex since 1990. He is a graduate of Georgetown University in Washington, DC where he received a Bachelor of Science degree in Business Administration. He is also a Certified Public Accountant. Mr. Jaskol commented further, "Jim Carolan, in his role as Executive Vice President, Chris, and I will comprise a newly formed Executive Committee, which will act on matters when the full Operating Committee of the Company can't convene. In addition to his corporate responsibilities as Executive Vice President, Jim will continue as president of Lydall Technical Papers. Jim has been an integral part of Lydall's growth, and I look forward to his being more involved in corporate planning issues. "Ray Grupinski has instituted extensive production improvements and aggressive cost of quality programs throughout Westex's operations and has been one of the major contributors to that division's success". Mr. Carolan joined the Company in 1980 as vice president of marketing of Lydall Technical Papers and was promoted to president of Lydall Westex in 1982. He accepted the challenge of Lydall International and moved to France in 1991. From 1993 to 1997, Mr. Carolan served as president of Lydall Manning, and in January, 1998 became president of Lydall Technical Papers. He holds a Bachelor of Science degree in Accounting from Fordham University in New York and served as a First Lieutenant in the U. S. Army Transportation Corps. Mr. Grupinski , who has been with Lydall since 1990, joined as quality assurance manager of the Lydall Westex. He was promoted to manufacturing manager in 1992 and named director of operations in 1995. He holds a Chemical Engineering degree from the University of Florida and a MBA degree in Finance from Wake Forest University. During his address to stockholders, Mr. Jaskol also announced that Lydall is projecting 1998 sales of approximately $245 million and diluted earnings per share in the range of $1.00 to $1.05. This compares with 1997 sales of $244.3 million and diluted earnings per share of $1.27. Other business at the meeting included the election of directors. Stockholders elected ten Directors to serve for one-year terms until the 1999 Annual Meeting. The following Directors were re-elected: Lee A. Asseo, Samuel P. Cooley, W. Leslie Duffy, Leonard R. Jaskol, Joe Schiavone, Elliott F. Whitely, Roger M. Widmann and Albert E. Wolf. The slate included two new Board members - Messrs. Christopher R. Skomorowski and John J. Worthington, president of Lydall Composite Materials. The addition of these two senior managers to the Board of Directors marks the continuation of the Company's program to rotate senior management participation at the Board level. Mr. Worthington joined the Company in 1996 as president of Lydall Composite Materials. Before joining Lydall, he was General Manager of Endura Products, a division of Specialty, Paperboard, Inc., formerly part of W. R. Grace and Company. He began his career with W. R. Grace in 1976, and in 1988, when he advanced to General Manager, he was National Sales Manager of the company's Construction Products Division. Mr. Worthington was a Captain in the U.S. Air Force and holds a Bachelor of Arts degree in Economics from Gettysburg College in Gettysburg, Pennsylvania. He attended the Graduate School of Sales and Marketing Management at Syracuse University in New York.
